Terms of Service

1. Using the Service

You must be authorized to act on behalf of your organization to accept these Terms and to use the Service in a business context. You're responsible for the accuracy of information you provide and for maintaining the security of your account credentials.

You agree to use the Service in compliance with applicable law and not to misuse it — including attempting to gain unauthorized access, disrupting the Service, or using it to generate content that infringes others' rights or violates law.

2. Accounts and subscriptions

Paid plans are billed according to the plan and billing cycle selected at signup or agreed in an order form. Fees are non-refundable except as required by law or expressly stated in your agreement with Xynora.

We may suspend or terminate access for material breach of these Terms, including non-payment, following reasonable notice where practicable.

3. Your content and data

You retain ownership of the content, documents, and data you submit to or connect within the Service ("Customer Content"). You grant Xynora a limited license to process Customer Content solely to provide, maintain, and support the Service for you.

Xynora does not use Customer Content to train shared or third-party AI models. Additional detail on data handling is available in our Privacy Policy and, for enterprise customers, in a data processing agreement.

4. Third-party models and services

The Service may route requests to third-party AI model providers you've connected or that Xynora offers as managed access. Your use of those models through the Service remains subject to Xynora's Terms; the underlying providers' own terms may additionally apply where disclosed.

5. Intellectual property

Xynora and its licensors retain all rights, title, and interest in the Service, including its software, design, and trademarks. These Terms do not grant you any rights to Xynora's intellectual property except the limited right to use the Service as intended.

6. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with the Service with at least the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care.

7. Disclaimers

The Service, including outputs generated by AI models accessed through it, is provided "as is." AI-generated outputs may be inaccurate or incomplete, and you are responsible for reviewing and validating outputs before relying on them for consequential decisions.

Except as expressly stated in an applicable order form or enterprise agreement, Xynora disclaims all warranties, express or implied, to the maximum extent permitted by law.

8. Limitation of liability

To the maximum extent permitted by law, Xynora will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from use of the Service, even if advised of the possibility of such damages.

Xynora's total liability arising from these Terms or the Service will not exceed the amount paid by you for the Service in the twelve months preceding the claim, except where a higher limit is set out in an enterprise agreement.

9. Termination

You may stop using the Service and cancel a subscription at any time, subject to the cancellation terms of your plan. Upon termination, your right to access the Service ends, and Customer Content will be handled as described in our Privacy Policy and your data processing agreement.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of India, without regard to its conflict of law principles, unless a separately signed enterprise agreement specifies otherwise.
